Terms of Use

Welcome to vpside. These Terms of Use (“Terms”) are a legally binding agreement between you (“you” or “your”) and vpside.com (“vpside”, “we”, “us” or “our”) for your use of the vpside website, application and related services (together, the “Platform”). By accessing or using the Platform, or by subscribing to vpside Pro, you agree to these Terms and to our Privacy Policy.

PLEASE READ THESE TERMS CAREFULLY. If you do not agree with any part of them, you must not access or use the Platform.

1. Eligibility and your account

You must be at least 18 years old to use the Platform. You can browse without an account. If you sign in or subscribe to vpside Pro, you sign in with your email address or Google account, and you are responsible for your account and all activity under it.

2. The Platform

vpside is a research tool for charting company fundamentals, comparing companies and modelling price targets. We may change, add or remove features at any time. During the public beta, every feature is free; some features may become part of a paid plan later, and we will say so on the Platform before that happens.

3. Not investment advice

Everything on the Platform, including charts, comparables and price targets, is for information and research only. It is not investment, financial, tax or legal advice, or a recommendation to buy or sell any security. Price targets are model outputs based on inputs you can change, not forecasts we stand behind. You are solely responsible for your investment decisions.

4. Data sources and accuracy

Company fundamentals come from public filings made with the U.S. Securities and Exchange Commission (SEC EDGAR). Prices are prior-day closing prices from third-party providers, including IEX. Data provided for free by IEX; by accessing or using IEX Historical Data, you agree to the IEX Historical Data Terms of Use.

Data may be delayed, incomplete or contain errors, including errors in the original filings. We do not guarantee the accuracy, completeness or timeliness of any data.

5. Plans and billing

The free plan has a daily limit and other limits shown on the Pricing page. vpside Pro is billed monthly or yearly, in advance, through our third-party payment processor. You can cancel at any time; cancellation takes effect at the end of your current billing period. Fees are non-refundable except where required by law. We may change prices for future billing periods with notice, except that members who subscribed to the yearly plan at the launch price keep that price for as long as their subscription stays active.

6. Your research and exports

The price targets, comparables sets and notes you save are yours. We store them only to provide the Platform. You may use charts, tables and exports in your own research and publications.

7. Acceptable use

You agree not to:

  • break any law or infringe anyone's rights;
  • scrape, copy in bulk, resell or redistribute the Platform's data;
  • get around the Platform's limits, paywalls or security;
  • interfere with or overload the Platform.

8. Termination

You may stop using the Platform and close your account at any time. We may suspend or end your access if you break these Terms.

9. Disclaimer

The Platform is provided “as is” and “as available”, without warranties of any kind. We do not guarantee that the Platform will be uninterrupted or error-free.

10. Limitation of liability

To the fullest extent permitted by law, vpside is not liable for any indirect, incidental or consequential damages, or for any investment losses, arising from your use of the Platform. Our total liability for any claim is limited to the amount you paid us in the twelve months before the claim.

11. Changes to these Terms

We may update these Terms from time to time. The date at the top shows when they last changed. Continuing to use the Platform after a change means you accept the updated Terms.
